Constitution

Name

The name of the community group is Friends of Bathurst Basin.

Aims

The community group (hereafter “the group”) is non-profit making. It aims to preserve, develop and enhance Bathurst Basin in Bristol, UK, an area where people live, work and enjoy leisure activities.

Membership

Membership of the group shall be open to any person interested in furthering the objectives of the group. There is no membership fee. Individuals may join (or leave) the group by subscribing to (or unsubscribing from) the group’s mailing list.

Every member shall be entitled to one vote at an Annual General Meeting or Special General Meeting of the group.

Executive Committee

An Executive Committee shall be elected annually by the Annual General Meeting of the group or by the inaugural meeting in the first instance.

The Executive Committee shall consist of no fewer than three members: Chair, Secretary and Membership Secretary.

Annual General Meeting

An Annual General Meeting shall be called once a year. Executive Committee Members are elected at this meeting.

Procedure at General Meetings

The Secretary or other person appointed by the Executive Committee shall keep a record of proceedings at every General Meeting of the group.

The quorum for a General Meeting shall be a minimum of eight members.

Alterations to the Constitution

The Constitution may be altered by a resolution passed by not less than two-thirds of the members present and voting at a General Meeting.

Adoption

This Constitution was adopted by members of the Friends of Bathurst Basin who attended a Special General Meeting held on 13th June 2019.
